Terms of Service
Use our website and services fairly and lawfully. Pay on time. Give us what we need to do our job well. We own the work until you've paid for it in full, then it's yours. We don't guarantee specific results — digital marketing has too many moving parts. Either side can leave with 30 days' notice.
About Varnan Digital
Varnan Digital is a digital marketing agency based in Kerala, India. We help growth-stage businesses with performance marketing, SEO, web design, social media, brand identity, AI automation, analytics, and email marketing.
Acceptance of Terms
By using our website or signing a service agreement with us, you confirm that you:
- Are at least 18 years old.
- Have legal authority to enter a binding agreement (or are authorised to act on behalf of your company).
- Accept these Terms in full.
Services
Scope of work
The exact deliverables, timelines, and fees for your project are defined in a Statement of Work (SOW) provided at onboarding. These Terms apply alongside that SOW.
Scope changes
Any work beyond the agreed scope requires a written change request and separate quote. We won't start additional work without written confirmation and agreed payment terms.
Third-party platforms
Many of our services run on platforms we don't control — Google Ads, Meta, LinkedIn. We are not liable for changes to their policies, auction dynamics, algorithm updates, or account suspensions caused by the platform itself.
Payment Terms
Invoiced monthly in advance. Due within 7 days of invoice date.
Invoiced per the milestone schedule in your SOW.
Paid directly to the platform by the client — separate from agency fees.
Overdue by 14+ days may incur 2% interest per month.
All fees are in INR and exclude applicable GST. We may pause services for accounts with outstanding balances.
Your Responsibilities
- Provide timely access to accounts, assets, and information we request.
- Review and approve deliverables within agreed timelines — delays on your side may affect delivery dates.
- Ensure all content and images you provide don't infringe third-party IP rights.
- Keep your business, products, and advertising claims legally compliant.
- Protect any credentials or access we share with you.
Intellectual Property
Deliverables
All creative work, code, and content produced by Varnan Digital remains our property until we've received payment in full. Once paid, ownership of the agreed deliverables transfers to you.
Our frameworks & tools
We retain ownership of our methodologies, internal tools, AI models, and templates. You receive a non-exclusive licence to use these as part of your deliverables.
Your content
You own everything you provide to us. You grant us a licence to use it solely to deliver your project.
Confidentiality
Both parties will keep the other's sensitive business information — strategies, financials, customer data, trade secrets — strictly confidential. This obligation continues for 2 years after the engagement ends.
Results Disclaimer
Digital marketing outcomes depend on factors outside our control — market conditions, platform algorithms, seasonal demand, competitor behaviour, and your product-market fit. We work hard to deliver the best possible results, but we do not guarantee specific revenue figures, ROAS targets, or ranking positions unless explicitly committed in writing in your SOW.
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim will not exceed the fees you paid us in the 3 months before the claim arose.
- We are not liable for indirect, consequential, or punitive damages — including lost revenue, lost profit, or lost data.
- We are not liable for losses from platform outages, algorithm changes, or force majeure events.
Termination
Standard notice
Either party may end the engagement with 30 days' written notice, unless your SOW specifies a different period.
Immediate termination
We may end the relationship immediately if you breach these Terms, fail to pay overdue invoices after a 7-day cure notice, or act in a way that is unlawful or harmful to our reputation.
After termination
All outstanding fees become due immediately. We'll hand over completed deliverables that have been paid for up to the termination date.
Website Use
When using varnan.digital, you agree not to:
- Use the site for any unlawful purpose.
- Send spam, malware, or harmful content via our forms.
- Attempt to access systems or data you're not authorised to access.
- Scrape or reproduce our content without written permission.
Governing Law
These Terms are governed by the laws of India. Disputes will be resolved in the courts of Kerala. Before initiating legal proceedings, both parties agree to attempt good-faith resolution for 30 days.
Changes to These Terms
We may update these Terms. For active clients, we'll give 14 days' email notice before material changes take effect. Continued use of our services after that period means you accept the updated Terms.
